1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement between you (whether individually or on behalf of an entity, referred to as "Client", "Carrier", or "You") and Alpha Transit LLC ("Company", "we", "us", or "our"), governing your access to and use of our administrative, logistics management, and clerical dispatch services.

2. Scope of Administrative Services

Alpha Transit LLC provides business-to-business (B2B) support services to independent commercial motor carriers, including but not limited to:

• Rate confirmation clerical verification and processing.
• Broker setup packet completion and carrier credential transmission upon carrier authorization.
• Load search assistance, route schedule planning, and rate negotiation consulting.
• Invoicing paperwork generation and clerical coordination with carrier-designated factoring companies or direct brokers.
• 24/7 dedicated administrative customer communications and check-call support.

3. Carrier Authority & Compliance

The Carrier warrants that it holds an active, valid commercial motor carrier operating authority (USDOT and/or MC number) issued by the Federal Motor Carrier Safety Administration (FMCSA), maintains proper public liability and cargo insurance coverage, and operates in full compliance with all federal, state, and local transportation laws. The Carrier retains full and sole discretion to accept or reject any load recommendation.

4. Fees, Billing & Payment Processing

In consideration for back-office services rendered, Client agrees to pay Alpha Transit LLC the agreed service management fee (typically 5% to 10% of gross freight rate, or an agreed flat weekly administrative fee as specified in the service agreement):

• Invoicing: Invoices are generated electronically on a weekly cycle or upon completion of clerical service delivery.
• Payment Methods: Electronic payments are securely processed in United States Dollars (USD) via major credit cards, debit cards, or ACH bank transfers through our authorized payment processing partner, Stripe.
• Due Date: Invoices are payable upon receipt. In the event of non-payment, Alpha Transit LLC reserves the right to suspend administrative support until the account is brought current.

5. Non-Possession & Cargo Liability Disclaimer

Alpha Transit LLC does not take possession, custody, or control of any freight, cargo, or equipment. Alpha Transit LLC shall bear zero liability for cargo damage, transit delays, shortage, theft, equipment malfunction, traffic infractions, or vehicular accidents. Full operational and legal liability for physical transportation remains exclusively with the independent Motor Carrier.

6. Service Cancellation & Termination

Clients may cancel ongoing administrative dispatch support at any time by providing seven (7) days written notice via email. No long-term lock-in contracts are enforced. Client remains responsible for administrative management fees incurred for all load services scheduled or completed prior to termination.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Alpha Transit LLC, its directors, employees, or agents be liable for any indirect, consequential, incidental, special, or punitive damages arising from the provision of administrative clerical services.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal suit, action, or proceeding shall be instituted exclusively in the federal or state courts situated in Dallas County, Texas.
